Welcome to Feloom! This is a Transport Management System (TMS) built to streamline and automate logistics operations for carriers, dispatchers, and transport businesses.

By accessing our website or using our software platform, you confirm that you’ve read, understood, and agree to be legally bound by these Terms. If you are entering into this agreement on behalf of a business entity such as a trucking company or dispatching service, you represent that you have the authority to do so.

These Terms are a binding contract between you and Feloom. Please read these Terms carefully, as they contain important information about the services we provide, including any charges, taxes, and fees that may apply.

These Terms also explain how future changes to the Terms may occur, outline limitations of liability, include a class action waiver, and describe how disputes will be resolved through arbitration rather than in court.

Your use of or participation in certain Feloom services may also be subject to additional policies, rules, and/or conditions ("Additional Terms"). These are incorporated into these Terms by reference, and by using or participating in such services, you agree to comply with those Additional Terms as well.

ARBITRATION NOTICE AND CLASS ACTION WAIVER: Except for certain types of disputes described in these Terms, you agree that any disputes between you and Feloom will be resolved throughbinding, individual arbitration, and you waive your right to participate in a class action lawsuit or class-wide arbitration.

What is Feloom?

Feloom is a Transport Management System (TMS) designed to streamline and automate logistics operations for carriers, dispatchers, brokers, and transport companies (“Transportation Providers”) as well as businesses that require logistics services (“Shippers”). The platform enables all parties to efficiently collaborate on shipments, dispatching, routing, and other key logistics tasks.
Some features of the Feloom platform may also allow Customers and their authorized users to track shipments in real-time, from dispatch to final delivery.

For the purposes of these Terms, Shippers, brokers, and Transportation Providers who subscribe to and use Feloom are referred to as “Customers.” Suppliers, vendors, or others invited by Customers to use the platform are referred to as “Tenants.” Customers, Tenants, and any visitors to the Feloom web or mobile applications are collectively referred to as “Users.”

Changes to These Terms

We reserve the right to update or modify these Terms at any time. If we make material changes, we will make reasonable efforts to notify you—such as by placing a prominent notice on the platform, sending an email, or using other appropriate communication channels.
If you do not agree to the updated Terms, you may choose to discontinue use of the Services. Continued use of Feloom after the new Terms take effect constitutes your acceptance of those changes.

Eligibility and Children’s Privacy

The Feloom Services are intended solely for individuals who are 18 years of age or older. By accessing or using our Services, you represent and warrant that you are at least 18 years old and that you are not prohibited by the laws of your country or jurisdiction from using the Services.

In compliance with the Children’s Online Privacy Protection Act, Feloom does not knowingly collect or solicit any personally identifiable information from individuals under the age of 18. If you are under 18, please do not attempt to register for or use the Services, and do not send us any personal information.

If we become aware that we have inadvertently collected personal data from a minor under 18 years old, we will take immediate steps to delete that information. If you believe a minor may have submitted personal information to us, please contact us at[email protected]

What Do the Services Cost?

The fees for using Feloom are outlined in the ordering document or subscription agreement between you and us. By subscribing to a paid plan, you agree to pay all applicable fees as specified in that agreement.

You authorize our third-party payment processor to charge your payment card or initiate an ACH transfer for the appropriate fee, either at the time of subscription and/or at the start of each billing cycle (monthly or annually, depending on your plan), until your subscription is terminated by either party. All fees are non-refundable, unless explicitly stated otherwise in these Terms.

If you choose to upgrade to a higher-tier paid plan, the change will take effect immediately, and you will be charged the pro-rated difference for the remainder of your current billing cycle. If you downgrade to a lower-tier plan, the change will take effect in the next billing cycle, and you will not receive a refund for the current period.

We reserve the right to withhold access to the Services until full payment has been received and successfully processed.

Feloom also reserves the right to modify fees or pricing plans at any time. If you do not agree to the updated pricing, you must request account cancellation and discontinue use of the Services within 30 days of the new pricing taking effect. In such a case, we will only charge you for the period before termination, based on your existing plan.

Continued use of the Services after updated pricing becomes effective will constitute your acceptance of the new fees. Your next bill will reflect any pricing changes on a pro-rated basis, where applicable.

How Do I Access the Services?

To use the Feloom platform, you may be required to register for an account, specify your User type (such as Shipper, Dispatcher, Carrier, Broker, etc.), complete a verification process, and create a username and password (“Account Credentials”).

By creating an account, you agree to provide accurate, complete, and up-to-date information. You may not:

  • Register using credentials you’re not authorized to use
  • Impersonate another person or organization
  • Transfer your account to another individual or entity without our prior written consent
  • Share your Account Credentials with anyone else
  • Use the Services if you are legally prohibited from doing so under the laws of your country or jurisdiction

You are solely responsible for maintaining the confidentiality and security of your account and credentials, and for all activity that occurs under your account. If you suspect unauthorized access or activity, you must notify us immediately.

User Representations and Warranties

By using Feloom, you represent and warrant that:

  • You are at least 18 years old or the legal age of majority in your jurisdiction
  • You have the legal authority to enter into binding agreements
  • If you are using Feloom on behalf of an organization or business, you are authorized to bind that organization to these Terms
  • You will use the Services only for internal business or personal use, in compliance with all applicable laws and regulations

Prohibited Conduct

When using Feloom, you agree not to engage in any of the following:

  • Infringe on any intellectual property, privacy rights, or other legal rights of any third party
  • Violate any law or regulation, including those related toexport control or data privacy
  • Post, share, or transmit content that is fraudulent, deceptive, harmful, abusive, defamatory, obscene, or otherwise offensive
  • Jeopardize the security of your own or anyone else’s account, including sharing access or credentials
  • Attempt to access another user’s account, obtain their login credentials, or breach our security measures
  • Tamper with, access, or interfere with non-public areas of the Feloom platform, infrastructure, or the systems of our providers
  • Run any form of automated process, spam, Maillist, Listserv, or auto-responder, or introduce code or scripts that affect platform performance
  • Use bots or automated tools to crawl, scrape, or extract data from the Services
  • Attempt to reverse-engineer, decompile, or uncover any source code or algorithms related to the platform
  • Use Feloom for reselling, service bureau, timesharing, or white-labeling purposes
  • Drive or operate heavy machinery while interacting with the platform (if you're a Driver)
  • Use Feloom in any way that competes with the platform or its affiliated services
  • Bypass usage restrictions, data limits, or other access controls built into the platform
  • Upload, post, or transmit any viruses, malware, or other destructive software
  • Violate the terms of any agreement you have with Feloom, including these Terms of Service, any Subscription Agreement, or any Additional Terms

Enforcement and Termination

Violation of any of the above terms or misuse of the Services may result in immediate suspension or termination of your account, loss of access to Services, and potential legal action where applicable.

Feloom reserves the right to monitor usage, investigate violations, and take action—including disabling accounts—if we believe your activity poses a risk to the platform, other users, or legal compliance.

Payment Provider Services

Feloom may include integrations with third-party payment providers, enabling you to generate money codes, e-checks, or initiate other financial transactions directly through the Feloom platform (collectively, the “Payment Provider Services”), without needing to log in separately to the websites of those payment providers.

While these integrations are provided for your convenience, they may carry risks of unauthorized access or misuse , including the possibility of unauthorized parties generating payment codes or initiating transactions without your consent.

You acknowledge and agree that Feloom assumes no liability or responsibility for any payment code, e-check, or financial transaction that occurs through the platform or its Payment Provider Services. Feloom disclaims all warranties, express or implied, related to the functionality, accuracy, or security of the Payment Provider Services.

By using these integrations, you accept that Feloom shall not be held liable or obligated in any way for any payment or transfer that is created, processed, or executed through these third-party services.

Data Entry

Feloom provides you with tools to enter and manage business-related data on the platform, such as creating shipments, managing dispatches, or defining transportation requirements.

All data entered through your account is your sole responsibility. This includes ensuring the accuracy, completeness, and correctness of the data. Feloom will not be liable for any losses, delays, or issues caused by inaccurate, incomplete, or incorrect information that you or your team enter into the system.

You are responsible for verifying the accuracy of any data dispatched or shared with drivers, employees, vendors, or other third parties through the platform. Feloom bears no responsibility for operational or financial consequences arising from data errors submitted through your portal.

What Are My Rights in the Services?

The materials made available through the Feloom platform — including but not limited to text, graphics, data, articles, images, illustrations, user submissions, and other content (collectively, the “Content”) — are protected by copyright, trademark, and otherintellectual property laws.
You agree to respect all copyright notices, trademark guidelines, and usage restrictions associated with any Content you access through Feloom. You may not use, copy, reproduce, modify, translate, publish, broadcast, transmit, distribute, perform, upload, display, license, sell, or otherwise exploit any Content that you do not own, unless:

  1. You have received prior written permission from the rightful owner of that Content, or
  2. Your use is otherwise legally permitted and does not infringe on the rights of others, including Feloom.

We reserve the right to remove any Content from the platform at our sole discretion, without notice, especially if it’s alleged to violate these Terms or the rights of others.

You acknowledge that Feloom owns all rights, title, and interest in and to the Services, including the software, infrastructure, design, and proprietary technology behind it. You agree not to:

  • Modify or create derivative works based on the Services
  • Publish, distribute, or reproduce any part of the platform (except as expressly allowed)
  • Sell, license, or transfer any part of the Services
  • Reverse-engineer or otherwise attempt to extract the platform’s source code or architecture

While the platform may offer functionality to download or copy certain Content, all of the above restrictions continue to apply to that downloaded material.

What Licenses Am I Granting to Feloom and Other Users?

Anything you post, upload, share, store, or otherwise provide through the Feloom platform is considered your User Submission. Some User Submissions may be visible to other Users depending on how they are shared. To operate the platform and deliver its features, you grant Feloom certain rights to use your User Submissions. These licenses are subject to our Privacy Policy, especially when the submissions include personally identifiable information.

General License

For all User Submissions, you grant Feloom a perpetual, irrevocable, worldwide, royalty-free, transferable, and non-exclusive license to:

  • Translate and modify your content for technical compatibility
  • Reproduce, display, and distribute the content
  • Host and store your content as needed
  • Use the content solely to operate and improve the Services

Personal User Submissions

If you store a User Submission in a private manner (accessible only by you), we use the license above solely to display and deliver that content to you, and to operate the platform features that support such personal storage.

Limited Audience Submissions

If you share a User Submission with a limited audience (e.g. as a Driver sharing your personal info and location only with specific Shippers or Carriers), you grant us the same rights mentioned above, but only for the purpose of providing accessto those selected Users and delivering related functionality. You also grant those specified Users a limited license to access and interact with the content as permitted by the platform.

Public Submissions & Feedback

If you post a User Submission publicly or share it in a way that is accessible by a broader audience—or if you send us feedback, feature suggestions, or improvement ideas—you grant Feloom the licenses above, plus the right to use, perform, display, and distribute your content or feedback publicly and in connection with our Services and business operations.
You also grant all other Users of Feloom the right to access and interact with that Public User Submission, consistent with the platform's features and functionality.

Ownership and Technical Adaptation

These licenses do not affect your ownership of your User Submissions. You retain full rights to your content.
However, you understand and agree that Feloom may adapt or transform your content as needed to conform with technical requirements of networks, devices, operating systems, or other delivery methods. The licenses you grant include the right to make such necessary modifications.

What if I See Something on Feloom That Infringes My Copyright?

In accordance with the Digital Millennium Copyright Act (DMCA) and applicable laws for online service providers like Feloom, we have adopted the following policy regarding claims of copyright infringement.
Feloom reserves the right to:

  1. Block access to or remove content that we, in good faith, believe to be infringing copyrighted material.
  2. Suspend or terminate access to the Services for repeat offenders.

Procedure for Reporting Copyright Infringement

If you believe that any content or material on the Feloom platform infringes your copyright (or the copyright of someone you’re authorized to represent), you may submit a DMCA notice with the following required information to our Designated Agent:

  • A physical or electronic signature of the person authorized to act on behalf of the copyright owner.
  • Identification of the copyrighted work(s) that you claim are being infringed.
  • Identification of the allegedly infringing material, including its location on the platform, with enough detail to help us locate and verify it.
  • Contact details of the notifying party, including full name, address, phone number, and, if available, email address.
  • A statement, made in good faith, that the use of the material is not authorized by the copyright owner, its agent, or the law.
  • A statement under penalty of perjury that the information in the notice is accurate and that you are authorized to act on behalf of the copyright owner.

Once a Valid DMCA Notice Is Received

Upon receiving a proper and complete DMCA notice, Feloom may take the following actions:

  • Remove or disable access to the infringing content.
  • Notify the content provider that the material has been removed or access disabled.
  • Terminate the account of the content provider in cases of repeat infringement.

Submitting a Counter-Notice

If you are a content provider and believe that the removed content is not infringing, or you have the necessary rights to use such content, you may submit a counter-notice including:

  • Your physical or electronic signature.
  • Identification of the material removed or to which access was disabled, and its previous location.
  • A statement, made in good faith, that the removal or disabling was due to mistake or misidentification.
  • Your name, address, telephone number, and, if available, email address, along with a statement that you consent to the jurisdiction of the Federal District Court for your location (or any district where Feloom is located if outside the U.S.), and that you will accept service of process from the original complaining party.

If we receive a valid counter-notice, we may, at our discretion, notify the original claimant and restore access to the content within 10–14 business days, unless the copyright owner initiates legal action during that period.

What If I Want to Stop Using the Services?

You are free to stop using the Feloom platform at any time. However, please note that no refunds will be issued for any subscription fees or payments made prior to termination.
Feloom also reserves the right to suspend or terminate your access to the Services or your account at our discretion, including (but not limited to) violations of these Terms. We retain the sole authority to determine whether a breach has occurred.
Before closing your account, please review our Privacy Policy and the license terms outlined above to understand how your information and content will be handled after termination.
Termination of your account may result in the permanent deletion of any stored Content or User Submissions. We will make reasonable efforts to notify you in advance so you can retrieve any important data, unless such notice is:

  • Impractical
  • Legally prohibited
  • Unsafe
  • Or otherwise not in the interest of protecting Feloom, Users, or third parties

What Continues After Termination?

Certain sections of these Terms will survive termination by their nature, including but not limited to:

  • Your obligation to pay any outstanding fees
  • Indemnification obligations
  • Limitations of liability
  • Ownership and intellectual property rights
  • Dispute resolution terms, including the arbitration agreement

Do Any Other Terms Apply?

If you are using the Feloom platform as a Shipper (an organization that needs logistics services), or as a logistics provider (e.g. Broker, Carrier, Driver, 3PL, 4PL, etc.), the following additional terms apply to you.

If You Are a Shipper

By using Feloom as a Shipper, you represent and warrant that you are a legitimate operator in the logistics industry — such as a bona fide shipper, freight broker, 3PL, 4PL, freight forwarder, intermodal shipper, rail company, or motor carrier — and are engaged in the lawful business of transporting goods.
You agree to:

  • Maintain all necessary authority, permits, and registrations required to operate as a Shipper
  • Cease use of Feloom immediately if you lose such authority
  • Not represent yourself as acting under another party’s authority without verifiable permission
  • Not attempt to ship or broker freight without proper legal clearance
  • Use the Services solely for your commercial operations and not reproduce, resell, or distribute platform data for third-party use
  • Acknowledge that shipment tracking is informational and does not guarantee delivery time or precise location accuracy
  • Not use Feloom to ship or track contraband, stolen goods, or any illegal or prohibited items
  • Ensure that all shipments arranged through Feloom are properly insured
  • Understand that Feloom is not a transportation provider or carrier, and any transportation services accessed via the platform are performed by third parties

If You Are a Broker, 3PL/4PL, Freight Forwarder, Carrier, or Driver

By using Feloom as a logistics service provider, you agree to the following:

  • You maintain all required authority, licenses, and permits for your role (e.g. Broker, Carrier, etc.)
  • You will cease using the Services if that authority is revoked or expires
  • You will not represent yourself as operating under another party’s authority without written authorization
  • You will not broker or transport freight without legal authority or appropriate insurance/bond
  • You will not engage in transactions outside the scope of your operating authority or with unauthorized freight types
  • You will only use the Services for commercial purposes related to legitimate freight movement and will not resell or publish platform data
  • You are responsible for independently verifying any information related to loads, trucks, or equipment, and you agree not to rely solely on data displayed within the platform
  • Tracking features are for convenience and do not guarantee exact delivery times or GPS accuracy
  • You will not use the platform to ship or track contraband, stolen, or otherwise prohibited goods
  • If you upload equipment or capability data, you grant Feloom permission to use that information to suggest, promote, or match you with loads or partners
  • You authorize Feloom to display your safety ratings and insurance status (e.g. FMCSA data), and acknowledge we are not responsible for any inaccuracies in third-party data
  • You consent to having your contact details (e.g. name, company name, MC/DOT number, phone, and email) shown to other Users on the platform
  • You acknowledge that Users, not Feloom, are responsible for submitting their own contact information, and Feloom makes no guarantees regarding the accuracy of that information

Warranty Disclaimer

Neither Feloom nor its licensors or suppliers make any representations or warranties regarding any content made available through the Services, including Content and User Submissions. Feloom disclaims any responsibility or liability for the accuracy, legality, decency, or copyright compliance of content accessed through the platform.

Feloom and its partners make no guarantees about the performance, reliability, or outcomes of using the Services — including commercial results, successful engagements, or the fulfillment or traceability of shipments while in transit. Products or services accessed or purchased via the platform (whether or not following our recommendations) are provided “as is” without any warranties, unless otherwise stated in writing by a third-party provider.

THE SERVICES AND CONTENT ARE PROVIDED BY FELOOM (AND ITS LICENSORS AND SUPPLIERS) ON AN “AS IS” BASIS, WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE.

Some jurisdictions do not allow limitations on implied warranties, so some of the above may not apply to you.

Indemnity

To the fullest extent permitted by law, you agree to indemnify, defend, and hold harmlessFeloom, its affiliates, officers, agents, employees, and partners from and against any and all claims, losses, liabilities, damages (actual and consequential), expenses, and legal fees arising from:

  • Your use of the Services (including actions by others using your account)
  • Your violation of these Terms or applicable laws
  • Your content or submissions posted to the platform

Assignment

You may not assign or transfer these Terms, your account, or any of your rights or obligations under them without prior written consent from Feloom. We may assign or transfer these Terms or our rights and obligations at any time without notice or consent.

Force Majeure

Feloom shall not be held liable for any delay or failure in performance resulting from causes beyond its reasonable control, including but not limited to: acts of God, natural disasters, pandemics, labor disputes, utility failures, power outages, internet outages, actions of governmental authorities, civil unrest, terrorism, or war.

Third-Party Services and Content

The Services may include links to or integrations with third-party websites, platforms, or services. You acknowledge and agree that:

  • Feloom is not responsible for the availability, content, or accuracy of such external platforms
  • The inclusion of any third-party service does not imply endorsement by Feloom
  • You use third-party services at your own risk, and any terms or policies of those third parties apply

Feedback and Suggestions

If you provide Feloom with any ideas, suggestions, feedback, or enhancements related to the Services ("Feedback"), you grant Feloom a worldwide, perpetual, irrevocable, royalty-free license to use, reproduce, modify, and incorporate that Feedback into the Services without compensation to you.

Effective Date

These Terms of Service are effective as of the latest update posted on the Feloom platform. Continued use of the Services after any changes to these Terms constitutes your acceptance of the updated Terms.
